SOS Wes Free Vocal License

1. Parties, grant, and permitted uses

This agreement lets anyone who downloads a free SOS Wes vocal use it in their own new songs. It costs nothing, and there is no limit on how many people can hold the same license.

It starts on the date of download (the "Effective Date") and applies automatically to every vocal marked "Free" on the store. Each free vocal is licensed separately under these same terms.

• Licensor: Charles Height, p/k/a SOS Wes.

• Licensee: the person who enters their email and receives the vocal's download link by email.

• Licensed Vocal: the specific vocal named on the download page, including its audio stems (dry and wet), lyrics, and melody.

• New Work: a new, original song and sound recording the Licensee creates that combines the Licensed Vocal with other substantial musical elements, such as drums, synths, and arrangement.

The Licensor grants the Licensee a non-exclusive, non-transferable, perpetual, worldwide, royalty-free license to use the Licensed Vocal to create and release New Works.

The Licensee may:

• Release, stream, sell, and distribute the New Work on any platform or format, with no cap on streams or sales.

• Keep 100% of the master and publishing income the New Work earns. The Licensor takes no split and no royalty from the New Work.

• Register the New Work with a performing rights organization and the MLC, listing the elements the Licensee created.

• License the New Work for TV, film, games, and ads without paying the Licensor anything further.

• Perform the New Work live and broadcast it on radio, in DJ sets, and in shows.

• Edit, chop, pitch-shift, and process the Licensed Vocal as needed to fit the New Work.

2. Restrictions

Breaking any of these rules is a material breach of this agreement.

1. No Content ID or copyright claims. The Licensee may not register the New Work, or any part of the Licensed Vocal, with YouTube Content ID, Facebook Rights Manager, TikTok, Audible Magic, or any similar system. Many other people hold the same free license, and a claim would trigger false strikes against them.

2. No standalone redistribution. The Licensee may not resell, sub-license, lease, trade, upload, or share the Licensed Vocal or its stems by themselves, as loops, samples, sound effects, or as part of a sample pack, vocal pack, or construction kit. This includes re-uploading the files to other free download sites. It also covers altered versions: a chopped, pitched, re-tuned, or otherwise edited copy of the vocal cannot be sold or shared on its own either.

3. No AI use. The Licensee may not use the Licensed Vocal to train, fine-tune, or prompt any AI or machine-learning model, or to create a voice clone, voice model, or synthetic imitation of the Licensor's voice.

4. No claiming the vocal as your own. The Licensee may not present the Licensed Vocal as their own voice or performance, or claim ownership of it.

5. No transfer. The license belongs to the Licensee only and cannot be sold or assigned. The Licensee may transfer the finished New Work to a label or publisher, as long as the label or publisher also agrees not to extract and resell the isolated vocal.

6. Demo Instrumental. Any backing track on the download page is for preview only and is not part of this license.

3. Credit, ownership, and availability

Credit. The Licensee does not need to credit the Licensor, and may use the Licensor's name or likeness as a featured artist, credit, or endorsement only with written permission.

Ownership. The Licensor remains the sole owner of the Licensed Vocal, including its lyrics, melody, and recording. The Licensee owns the copyright in the New Work, excluding the Licensed Vocal inside it.

No cap and no exclusivity. Anyone may download this vocal for free, and the Licensor may also sell or license it to others, including exclusively. If the Licensor later sells the vocal exclusively, licenses already granted under this agreement stay valid.

Availability. The Licensor may remove the vocal from the store at any time. Licenses already granted stay valid.

4. Email signup and termination

Email signup. To download, the Licensee gives a real email address and receives the download link there. By downloading, the Licensee agrees that SOS Wes may email them about new free vocals, releases, and store updates. Every email includes a way to unsubscribe, and unsubscribing does not affect the license.

Termination. The Licensor may end the license immediately if the Licensee breaks any term of this agreement. The Licensee must then take down the New Work from every platform and delete all copies of the Licensed Vocal.

No payment, no refund. The license is free, so there is nothing to refund.

5. Warranties, liability, and legal terms

• Licensor's promise. The Licensor states that he created the Licensed Vocal and has the full right to license it under this agreement.

• Licensee's responsibility. The Licensee agrees to defend and cover the Licensor against claims, losses, and legal costs that come from the Licensee breaking this agreement or using the vocal in a way that violates someone else's rights.

• Limit of liability. The vocal is provided free and as is. To the fullest extent the law allows, the Licensor's total liability under this agreement is limited to $0.

• Entire agreement. This is the full agreement for this vocal. It replaces any other promise or discussion about it, and may only change in writing signed by both sides.

• Governing law. New Jersey law governs this agreement, and any dispute goes to the courts of New Jersey.

• Acceptance. By entering an email and downloading, using, or releasing music with the Licensed Vocal, the Licensee agrees to every term above.
